The VHHA Corporate Network is designed for organizations that provide products or services to healthcare providers. It is not intended for hospitals, health systems, or other healthcare-providing organizations.
VHHA CORPORATE NETWORK TERMS OF PARTICIPATION
Virginia Hospital Shared Services Corporation d/b/a VHHA Solutions (“VHHA Solutions”) offers status as part of the VHHA Corporate Network (the “Network”) to mission-aligned organizations interested in the development and improvement of hospital and outpatient services to collaborate with Virginia Hospital & Healthcare Association (“VHHA”), expand their visibility within the health care community, and contribute to innovative programming supporting Virginia’s health care landscape. Applicant’s status as part of the Network is subject to compliance with these terms of participation.
1. VHHA Solutions reserves the right to accept or deny any Applicant in its sole discretion. Applicant agrees that participation in the Network is voluntary and can be rescinded by VHHA Solutions at any time in its sole discretion due to a failure to comply with these terms or if its continued participation is determined not to be in the best interests of VHHA Solutions or VHHA. Following termination of participation, Applicant will not receive a refund of any dues paid to VHHA Solutions, regardless of the reason for termination and Applicant will have no further rights to make any statements regarding its status as a Network participant as permitted by these terms.
2. Applicant participation is conditioned upon payment of fees in the amount designated by VHHA Solutions each fiscal year within thirty (30) days following receipt of an invoice from VHHA Solutions. Failure to timely pay fees may result in the suspension or termination of Network status. Applicant agrees to automated processes for autorenewal each year.
3. Applicant acknowledges that Network participation does not grant Applicant any membership or voting rights in VHHA Solutions or VHHA or authority to determine any policy of the VHHA Solutions or VHHA. Applicant further acknowledges that being a participant in the Network does not grant Applicant the right to make any representations that Applicant is a member of VHHA or to make any statements or representations on its behalf.
4. Applicant agrees that VHHA Solutions and VHHA may identify Applicant as a Network participant on its website and other public facing publications and to use Applicant’s logo provided to VHHA Solutions for this purpose for so long as it is Network participant is in good standing. This benefit is contingent upon Applicant’s provision of needed materials. Upon approval by VHHA Solutions, Applicant is permitted to use the Network name and logo for the limited purpose of identifying itself as part of the Network on its website and other public facing publications. Applicant agrees that the Network name, logo, and Applicant’s status as a part of the Network are not to be used in any political, legislative, or policy documents, advertisements, websites, or any other communication without the prior written approval of VHHA Solutions. Applicant does not have authority to use VHHA or VHHA Solutions’ name or logo without express written permission.
5. Applicant will indemnify VHHA Solutions and VHHA, their members, officers, directors, employees, and agents from any claims, liabilities, or expenses arising from or relating to Applicant or its employees, agents, or subcontractors acts or omissions in connection with its participation in the Network. VHHA Solutions will not be liable to Applicant for any amount more than the dues received by VHHA Solutions.
6. Applicant’s status as Network participant is not transferable to any other entity now or hereafter controlling, controlled by, or under common control Applicant. VHHA Solutions reserves the right to amend these terms from time to time and without notice to Applicant.
